1. Wall Space and Payment Terms
1.1 Wall Space Description:
The Gallery agrees to provide the Artist with wall space at the following location:
Address: 555 The Shops at Mission Viejo, Suite 928A, Mission Viejo, CA 92691
Wall Dimensions: 6 ft. H x 7 ft. W
1.2 Monthly Fee:
The Artist agrees to pay a monthly rental fee of $350 for the use of the wall space. Payments will be processed via a secure online payment link provided by the Gallery.
1.3 Payment Schedule and Conditions:

The initial payment of $350 must be made before any artwork is installed.

Thereafter, payments of $350 are due on the 1st of each month to continue occupying the space.

The Artist may rent the wall on a month-to-month basis for as long as they choose.

To end the rental, the Artist must provide 30 days’ written notice to yeslins@lagunaart.com and remove all artwork by the end of the final paid month.

If the Artist fails to provide the required 30-day notice, the Gallery reserves the right to immediately remove the artwork.
1.4 Payment Method:
All payments will be made via the Gallery’s provided online payment system. The Gallery is not responsible for any delays or errors caused by third-party payment processors.
1.5 Late Payment:
If payment is not received by the 5th of the month, a $50 late fee will be added to the total due. Continued late or missed payments may result in the termination of this Agreement and the removal of artwork.
2. Duration of Agreement
This Agreement begins on the _____ day of __________, 2025, and continues on a month-to-month basis. Either party may terminate this Agreement with 30 days' written notice. No refunds will be issued for early removal of artwork by the Artist.
3. Sales and Commission Structure
3.1 Gallery Commission:
All artwork sold through the Gallery will follow an 80/20 split, with 80% to the Artist and 20% to the Gallery.
3.2 Custom Commissions:

If a custom commission originates directly through the Artist, the Artist retains 100% of the sale.

If a custom commission is facilitated by the Gallery (from an existing Gallery client), the split is 60% to the Artist / 40% to the Gallery.
3.3 Payment for Sales:
The Gallery will pay the Artist their earnings on the 1st of the month following the sale. Payment will be made via Zelle, or by check if necessary.
4. Insurance and Liability
4.1 Artist’s Responsibility:
The Artist is responsible for insuring their artwork (optional but recommended). The Gallery assumes no liability for damage, loss, or theft.
4.2 Gallery Liability:
The Gallery is not liable for any incidents affecting the Artist's artwork or promotional materials while on display.
5. Wall Space Usage and Marketing
5.1 Display Flexibility:
The Artist may refresh, rotate, or update their display at any time between 12 PM and 6 PM, except on the first Saturday of each month.
5.2 Promotional Materials:
Artists may display business cards, flyers, or QR codes on their wall, provided all materials are pre-approved by the Gallery.
6. General Terms
6.1 Installation Standards:
Artists may use standard nails, hooks, or screws, but must not cause permanent damage to the walls. Any significant damage must be repaired by the Artist or will be billed by the Gallery.
6.2 Legal Compliance:
The Artist agrees to comply with all local, state, and federal laws, including copyright and fair use laws.
6.3 Termination:
Either party may terminate this Agreement with 30 days’ written notice. If the Artist leaves early without notice, the Gallery may remove and store or dispose of the artwork at its discretion. No refunds will be issued.
6.4 Force Majeure:
Neither party will be held liable for failure to fulfill obligations due to events beyond their control (e.g., natural disasters, closures, etc.).
6.5 Entire Agreement:
This document represents the complete agreement. Any amendments must be made in writing and signed by both parties.
